Introduction
Off-plan real estate constitutes a major share of Dubai transactions. However, significant project stalls or personal financial changes frequently lead investors to ask whether they can legally cancel their purchase agreement and reclaim paid installments.
The Legal Framework: Law No. 13 of 2008 & Law No. 19 of 2017
Dubai real estate legislation strictly regulates off-plan contract cancellations. Neither party may unilaterally terminate an interim real estate agreement except through mutual consent or court judgment.
Developer-Initiated Cancellation and Article 11 Deductions
If a buyer defaults on installment payments, developers must notify the DLD. The DLD serves a 30-day notice to the buyer. If default continues, developers can retain statutory percentages based on construction progress:
- Over 80% complete: Developer may retain up to 40% of purchase price.
- 60% to 80% complete: Up to 40% retention.
- Under 60% complete: Up to 25% retention.
- Not yet commenced: Up to 30% of amounts paid.
When Can the Buyer Cancel?
Buyers can seek judicial termination (Faskh) under the UAE Civil Transactions Law if:
- The developer refuses or materially fails to construct without valid excuse.
- The master developer or DLD cancels the project entirely.
- Fundamental alterations are made to property specifications without buyer consent.
Conclusion & Action Plan
Canceling an off-plan contract without following statutory legal procedures can forfeit your investment. Consult experienced real estate attorneys to assess developer milestones before taking action.
