Introduction

In Dubai's secondary market, Unified Contract F—commonly called the Memorandum of Understanding (MOU)—is the foundational sales contract. Once signed, it creates binding obligations on both buyer and seller.

The 10% Security Deposit Hazard

Under standard Form F terms, each party deposits a 10% manager's cheque with the broker. If either party defaults, the other can claim this deposit as liquidated damages. Ambiguous default definitions often lead to unjustified forfeiture.

Critical Clauses to Add as Addendums

  • Mortgage Finance Contingency: Specifying that if the buyer's mortgage is rejected through no fault of their own, the contract terminates without penalty and the deposit is returned.
  • Inventory & Condition Schedule: Listing exact furnishings, fixtures, and appliances included.
  • Vacant Possession Warranties: Ensuring existing tenants have received valid legal eviction notices.

The Danger of Generic Contracts

Standard RERA templates lack tailored safeguards. Once Form F is locked into the DLD system, amending terms becomes difficult without counterparty agreement.
